1 Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and Ignite Labs LLC ("Company", "we", "us", "our"), governing your access to and use of our websites, mobile applications, APIs, and all related services (collectively, the "Services").

By creating an account, downloading our apps, or otherwise using the Services, you affirm that you have read, understood, and agree to these Terms and our Privacy Policy.

2 Who We Are

Ignite Labs LLC is a technology company incorporated in the United States, specializing in mobile application development, SaaS platforms, and digital product engineering. Our principal place of business is:

3 Eligibility

To use the Services, you must:

• Be at least 13 years of age (or 16 in certain jurisdictions, including the EU).
• Have the legal capacity to enter into a binding agreement.
• Not be prohibited from using the Services under applicable law.
• Not be located in a country subject to a US government embargo or on any US government restricted party lists.

If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

4 Account Registration & Security

Some Services require you to create an account. When registering, you agree to:

• Provide accurate, current, and complete information.
• Keep your account credentials confidential and not share them with others.
• Notify us immediately of any unauthorized access to your account at info@ignitelabsllc.com.
• Be responsible for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that provide false information, violate these Terms, or have been compromised.

5 Permitted Use & Restrictions

5.1 Permitted Use

You may use our Services solely for lawful purposes and in accordance with these Terms. Permitted use includes accessing features of IgniteConnect and SparkPay for personal, business, or enterprise productivity and payment purposes.

5.2 Prohibited Activities

You must not:

• Use the Services for any unlawful, fraudulent, or unauthorized purpose.
• Attempt to reverse-engineer, decompile, disassemble, or derive source code from the Services.
• Upload viruses, malware, or any malicious code.
• Scrape, crawl, or use automated tools to access the Services without written permission.
• Harass, threaten, or harm other users.
• Use the Services to process payments for illegal goods or services.
• Impersonate Ignite Labs, its employees, or other users.
• Violate any intellectual property or proprietary rights of Ignite Labs or third parties.
• Attempt to gain unauthorized access to our systems, data, or networks.

Violation of these restrictions may result in immediate account termination and potential legal action.

6 Intellectual Property

All content, software, technology, trademarks, logos, and materials within the Services — including IgniteConnect and SparkPay — are the exclusive property of Ignite Labs LLC or its licensors and are protected by US and international intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose. This license does not permit you to resell, sublicense, copy, or commercially exploit any part of the Services.

The Ignite Labs name, logo, "IgniteConnect", and "SparkPay" are trademarks of Ignite Labs LLC. You may not use these marks without prior written permission.

7 User Content

You retain ownership of content you upload, create, or share through the Services ("User Content"). By submitting User Content, you grant Ignite Labs LLC a worldwide, non-exclusive, royalty-free license to use, store, reproduce, and display that content solely to provide and improve the Services.

You are solely responsible for your User Content. You represent and warrant that:

• You own or have the necessary rights to the content you submit.
• Your content does not violate any law or third-party rights.
• Your content is not defamatory, obscene, or otherwise harmful.

We reserve the right (but not the obligation) to remove User Content that violates these Terms.

8 Payments & Subscriptions

8.1 Fees

Certain Services or features (including SparkPay transactions and IgniteConnect premium plans) may be subject to fees. All fees are displayed in US dollars unless otherwise stated and are inclusive of applicable taxes where required by law.

8.2 Billing

By providing a payment method, you authorize us to charge applicable fees on a recurring basis. All subscriptions auto-renew unless cancelled before the renewal date.

8.3 Refunds

Subscription fees are generally non-refundable except where required by applicable law or at our sole discretion. If you believe you have been charged incorrectly, contact us within 30 days at info@ignitelabsllc.com.

8.4 SparkPay Transactions

All financial transactions through SparkPay are subject to our payment terms, which may include additional verification requirements, transaction limits, and compliance obligations under applicable financial regulations.

9 Disclaimers & Limitation of Liability

To the maximum extent permitted by applicable law, Ignite Labs LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business interruption, arising from your use of the Services.

Our total aggregate liability to you for any claims arising from your use of the Services shall not exceed the greater of (a) the amounts you paid to us in the 12 months prior to the claim, or (b) USD $100.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so the above may not fully apply to you.

10 Indemnification

You agree to defend, indemnify, and hold harmless Ignite Labs LLC, its officers, directors, employees, contractors, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your use or misuse of the Services.
• Your User Content.
• Your violation of these Terms or any applicable law.
• Your infringement of any third-party rights.

11 Termination

You may stop using the Services and delete your account at any time by contacting us or through the in-app settings.

We may suspend or terminate your account and access to the Services at our sole discretion, without notice, if we reasonably believe you have violated these Terms, engaged in fraud, or if required by applicable law.

Upon termination, your license to use the Services immediately ceases. Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, and governing law shall survive termination.

12 Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New Mexico, United States, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Services shall first be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in Albuquerque, New Mexico, under the rules of the American Arbitration Association (AAA).

You agree to waive any right to participate in class-action lawsuits or class-wide arbitration against Ignite Labs LLC.

Notwithstanding the foregoing, either party may seek emergency injunctive relief in a court of competent jurisdiction to prevent irreparable harm.

13 Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email or by posting a prominent notice in the Services at least 14 days before the changes take effect.

Your continued use of the Services after the effective date constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Services before the effective date.
